What CCEA approved

The Cabinet Committee on Economic Affairs (CCEA) approved M/s 10955230 Canada Inc.—whose parent is Fairfax Financial Holdings Ltd.—as the strategic buyer of a 60.72% stake in IDBI Bank at its 14 October meeting. The approved purchase consideration is ₹52,878.0806181 crore. The Government of India is to sell 30.48% and Life Insurance Corporation of India (LIC) 30.24%, according to the Ministry of Finance’s approval release and IDBI Bank’s exchange disclosure. 1 (opens in a new tab) 2 (opens in a new tab)

The legal buyer matters: the approved acquirer is 10955230 Canada Inc., rather than Fairfax Financial Holdings Ltd. directly. The payment is consideration for the proposed stake transaction; it is not an IDBI Bank market quote. For readers comparing deal terms with trading data, TradeGrows’ market-data method explains why the data basis and date need to be kept separate.

The successful offer was ₹81 per share. The Ministry said that was above the ₹75.99-per-share benchmark derived from two independent valuations, based on IDBI Bank’s 31 March 2026 audited accounts and two methods: market multiples and asset valuation. 1 (opens in a new tab) This is a valuation comparison within the sale process, not a statement of today’s trading price.

What happens next

The approval is not the same as a completed transfer. The Ministry says the successful bidder must present its credentials to the RBI and submit a roadmap for complying with regulatory conditions. Reuters separately reported that the deal is subject to RBI approval. 1 (opens in a new tab) 3 (opens in a new tab) 4 (opens in a new tab)

If the transaction completes as described, the Government would retain 15% and LIC 19%. The PIB FAQ says both would withdraw their board nominees and become public shareholders. 3 (opens in a new tab) The CCEA has authorised its Alternative Mechanism to undertake minority sales of the Government’s residual stake through the open market, while LIC may manage its residual holding within its procedures and regulatory directions. 1 (opens in a new tab)

A controlling-stake approval can ultimately change who sets IDBI Bank’s strategy and board-level direction. For investors, the immediate questions are the RBI process, timing and terms of completion, and later disclosures about governance or residual stakes—not an assumption that control has already changed. How to read company filings in India and the stocks section provide context for tracking those disclosures.
